These Terms and Conditions (“Terms”) cover your relationship with Starlight Commons (“us”, “we”, “our”) and the processes it operates. Please ensure that you read these Terms and Conditions carefully before you participate in our services.

Your access to and use of the service is based on your acceptance of and compliance with these terms. These terms apply to all visitors, users, and others who access or use our services. By accessing or using our services, you are bound to these terms. If you disagree with any part of the terms, you may not access our services.

The services provided by Starlight Commons and all of its original content, features, and functionalities are and will remain the exclusive property of Starlight Commons and its licensors. The services are protected by copyright, trademark, and other laws of both the USA and other countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Starlight Commons.

Our services may contain links to third-party websites or services that are not owned or controlled by Starlight Commons. Starlight Commons holds no control nor assumes responsibility for the content, Privacy Policies, or practices of any third-party websites or services. You further acknowledge and agree that Starlight Commons shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

Starlight Commons strongly suggests that you read the Terms and Conditions and Privacy Policies of any third-party websites or services you visit.

Starlight Commons may terminate or suspend your ability to participate in its services immediately, without prior notice or liability, for any reason whatsoever, including without limitation, if you breach the terms. Upon termination, your right to interact with our services will immediately cease. If you wish to terminate your participation abilities, you may discontinue at any time.

In no event shall Starlight Commons, its subsidiaries, licensors, nor its directors, employees, partners, agents, suppliers, or affliages be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, goodwill, or other intangible losses resulting from (i) your access to use or inability to access or use the services; (ii) any conduct or content of any third party listed on the services; (iii) any content obtained from the services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Your use of Starlight Commons services is at your sole risk, as the service is provided on an “AS IS” and “AS AVAILABLE” basis. The services are provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

Starlight Commons does not warrant that (i) the service will function uninterrupted or will be available at any particular time or location; (ii) any errors or defects will be corrected; (iii) the results of using our services will meet your requirements.

User Content (as defined below) is provided by and is solely the responsibility of the user who has submitted that content. Starlight Commons does not undertake the comprehensive monitoring of the submission of content to its spaces, nor do we take responsibility for the content that is submitted or what effects it may have on you.

“User Content” refers to materials including text, images, audio, video, and audio-visual material submitted by a Starlight Commons user. Only for the purpose of making content available on official Starlight Commons locations, you grant to Starlight Commons a non-exclusive, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, adapt, and distribute any user content that you submit for use on official Starlight Commons locations. Any submitted user content must not be illegal and must not give rise to legal action, whether against you, Starlight Commons, or a third-party (under any applicable law). Starlight Commons reserves the right to remove any user content without notice.

These terms shall be governed and construed by the laws of the USA without regard to its conflict of law provisions. Our failure to enforce any right or provision of these terms will not be considered a waiver of those rights. If any provision of these terms is held to be invalid or unenforceable by a court, the remaining provisions of these terms will remain in effect. These terms constitute the entire agreement between us regarding our service and supersede and replace any prior agreements we might have between us regarding the services we provide.

At our sole discretion, we reserve the right to modify or replace these terms at any time. If a revision is material, we will provide at least 30 days' notice before any new terms take effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access and/or use our services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, discontinue the use of our services.
